Terms of Service

Effective date: September 24, 2026
Digital Optimization, LLC · Alpharetta, Georgia, USA

1. Acceptance of Terms

These Terms of Service (“Terms”) are a binding agreement between Digital Optimization, LLC, a Georgia limited liability company (“Digital Optimization,” “we,” “us,” or “our”), and the individual or entity accessing or using the Services (“you” or “Customer”). By using the MCPPeering website or demonstration, or otherwise using the Services described below, you accept these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

If you and Digital Optimization execute a separate written agreement, such as a master services agreement, statement of work, or engagement letter, that agreement controls to the extent it conflicts with these Terms. A proposed live pilot requires such a written agreement before delivery begins.

2. The Services

MCPPeering.com currently provides information about a proposed supplier order visibility pilot, an interactive demonstration using fictional orders and suppliers, visual workflow maps, local brief builders, and RFP planning resources (collectively, the “Services”). We may modify, enhance, or discontinue features of the Services at any time in our discretion.

The current demonstration is not connected to live supplier systems, does not provide production authentication or access controls, and does not place or change orders, make payments, or communicate delivery commitments. Sample statuses, timestamps, approvals, cases, and connection settings demonstrate possible workflows; they are not actual supplier records or authorizations. Do not rely on them for purchasing, delivery, or other business decisions.

The proposed pilot is a read-only workflow for existing supplier order status. Its availability, feasibility, scope, fees, responsibilities, data permissions, security requirements, and acceptance criteria must be agreed in writing. Website pricing and timelines are planning proposals, not an accepted engagement or a guarantee of results. Preparing or downloading a pilot brief, RFP scoping brief, or RFP starter does not send it to us or a buyer, submit a bid, or create a contract, booking, or payment obligation. RFP planning resources are starting points for the buyer’s own review and procurement process; they do not certify that MCPPeering meets the listed requirements.

3. Eligibility and Your Device

You must be at least eighteen (18) years old and capable of forming a binding contract. The current public website does not require or provide a user account. You are responsible for protecting access to your device and any information you save or download. Use fictional details in the demonstration; do not enter credentials, confidential supplier records, or sensitive personal information.

Demo cases, notes, supplier setup records, and connection settings may persist in your browser’s local storage. Resetting the demo restores its default state; clearing the site’s browser data removes the stored state. The Privacy Policy explains these controls.

4. Customer Content

Your ownership. As between the parties, you retain all right, title, and interest in the information and materials you intentionally send to Digital Optimization in connection with MCPPeering (“Customer Content”). Information entered only into the local demonstration or brief builder is not sent to us and is not Customer Content provided to us under these Terms.

Permitted use. When you intentionally provide Customer Content to us, you authorize us and service providers supporting our communications to receive, store, copy, and process it as reasonably necessary to respond to your request, provide support, discuss a potential engagement, and maintain related business records as described in the Privacy Policy. These Terms do not grant a license to use live customer or supplier data for a future production pilot; that processing must be addressed in the applicable written engagement.

Retention. Information actually provided to us is retained as described in our Privacy Policy, unless a separately executed written agreement provides otherwise. Applicable deletion obligations remain subject to permitted retention for legal, regulatory, recordkeeping, or dispute-resolution purposes and ordinary archival or backup copies pending their scheduled removal.

Your responsibilities. You represent and warrant that you have all rights, consents, and authority necessary to provide Customer Content to Digital Optimization and authorize the uses described above, and that Customer Content and our authorized use of it will not violate applicable law or any third-party right, including contractual confidentiality obligations owed to suppliers or other parties.

5. Digital Optimization Intellectual Property

Digital Optimization and its licensors retain all right, title, and interest in and to the Services, including the website and demonstration software, designs, data structures, sample content, workflow diagrams, templates, documentation, and trademarks, and all improvements and derivative works thereof. Your Customer Content is excluded.

Feedback, suggestions, and ideas you intentionally provide to us about the Services are assigned to us or, where assignment is not permitted, licensed to us on a perpetual, irrevocable, royalty-free basis. This provision does not apply to notes or other entries kept only in your browser. No rights are granted to you except as expressly stated in these Terms.

6. Acceptable Use

You agree not to, and not to permit any third party to:

  • Use the Services in violation of applicable law or third-party rights;
  • Provide content you lack the right to provide, or content containing malicious code;
  • Reverse engineer, decompile, scrape, or attempt to extract non-public source code, methodologies, or data of the Services, except to the extent applicable law permits;
  • Access the Services to build a competing product or perform competitive benchmarking without our written consent;
  • Resell, sublicense, or provide the Services to third parties except as expressly authorized;
  • Circumvent security controls, usage limits, or access restrictions; or
  • Misrepresent fictional demo information as actual supplier records, or use the Services to submit fraudulent claims.

We may suspend or terminate access immediately for violations of this Section.

7. Third-Party Platforms

The website is hosted by Vercel and may contain links to external websites. Your use of a third-party platform is governed by that platform’s terms and privacy policy. Digital Optimization is not responsible for third-party platforms, their availability, or their handling of information you independently provide to them.

The current public demonstration has no live supplier, ERP, or third-party AI assistant integration. Any future integration, including the verification and permitted use of its outputs, will be subject to the applicable written engagement and the third party’s terms.

8. Confidentiality

Each party will protect the other party’s non-public information actually received with at least reasonable care, use it only as necessary to perform under these Terms, and not disclose it except to personnel, advisors, and service providers bound by confidentiality obligations, or as required by law with reasonable notice where permitted. This Section does not limit the permitted use and retention provisions in Section 4. Any additional confidentiality requirements for a production engagement must be addressed in its written agreement.

9. Term; Suspension; Termination

These Terms apply from your first use of the Services and continue until terminated. Either party may terminate for material breach not cured within thirty (30) days of written notice. We may suspend the Services immediately where reasonably necessary to address security, legal, or abuse concerns. Upon termination, your access rights cease, and Sections 4, 5, and 8 through 15 survive. Fees and termination rights for a separately agreed engagement are governed by that engagement’s written agreement.

10. Disclaimers

11. Limitation of Liability

12. Indemnification

You will defend, indemnify, and hold harmless Digital Optimization and its members, managers, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) Customer Content, including any claim that Customer Content or our authorized use of it infringes or violates third-party rights or applicable law; (b) your use of the Services in violation of these Terms; or (c) disputes between you and any supplier or other counterparty, except to the extent caused by Digital Optimization’s gross negligence or willful misconduct.

13. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Atlanta, Georgia, before a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive relief in the state or federal courts located in Fulton County, Georgia for misuse of intellectual property or confidential information, and the parties consent to the exclusive jurisdiction and venue of those courts for that purpose.

14. Modifications to These Terms

We may revise these Terms from time to time. The effective date above reflects the latest version. Material changes will be communicated through the Services or by email, and continued use after the effective date of changes constitutes acceptance. Changes do not apply retroactively to disputes arising before their effective date.

15. General

These Terms, together with the Privacy Policy and any executed engagement documents, are the entire agreement between the parties regarding the Services and supersede prior discussions. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Failure to enforce a provision is not a waiver. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will continue in effect. Notices to Digital Optimization must be sent to legal@digitaloptimization.com. Neither party is liable for delay or failure caused by events beyond its reasonable control.
